Wir verweisen auf die B\u00f6rsenmitteilung von The Kingfish Company N.V. (\"K\u00f6nigsfisch<\/b>\" oder der \"Unternehmen<\/b>\") am 15. Januar 2025 (die \"Hinweis<\/b>\") \u00fcber die Zuteilung von Aktien im Rahmen der vollst\u00e4ndig gezeichneten Privatplatzierung von 31.111.112 neuen Aktien der Gesellschaft zu einem Festpreis von EUR 0,45 je Aktie (die \"Angebotspreis<\/b>\"), die einen Bruttoerl\u00f6s von 14 Millionen EUR (die \"Privatplatzierung<\/b>\"). Alle hier verwendeten Begriffe haben die gleiche Bedeutung wie in der Bekanntmachung.<\/p>\n

Gem\u00e4\u00df den Erm\u00e4chtigungen, die dem Board of Directors von der heute, am 24. Januar 2025, abgehaltenen au\u00dferordentlichen Hauptversammlung erteilt wurden, hat das Board of Directors heute beschlossen, das Grundkapital der Gesellschaft um 207.598,57 EUR durch die Ausgabe von 20.026.212 Aktien der Tranche 2 und 733.645 Aktien der Konsortialbanken zum Angebotspreis zu erh\u00f6hen. Die Ausgabe der Konsortialaktien erfolgt zur Abgeltung der von den Konsortialbanken gem\u00e4\u00df dem Zeichnungs- und \u00dcbernahmevertrag vom 20. Dezember 2024 gezahlten \u00dcbernahmegeb\u00fchr.<\/p>\n

Nach der Unterzeichnung der Privaturkunden f\u00fcr die Ausgabe der Tranche-2-Aktien und der Zeichnungsanteile wird das Grundkapital von Kingfish 1.426.940,48 EUR betragen, aufgeteilt in 142.694.048 Aktien mit einem Nennwert von je 0,01 EUR.<\/p>\n
