Reference is made to the stock exchange notice by The Kingfish Company N.V. (“Kingfish” or the “Company“) on January 15, 2025 (the “Notice“) regarding the allocation of shares in the fully underwritten private placement of 31,111,112 new shares in the Company at a fixed price of EUR 0.45 per share, raising gross proceeds of EUR 14 million (the “Private Placement“). All terms used herein shall have the same meaning as in the Notice.

The issuance of the 11,084,900 Tranche 1 Shares in the Private Placement has now been executed by private deed with immediate legal effect and shall be filed with the Dutch trade register.

The Company’s new share capital is EUR 1,219,341.91, divided into 121,934,191 shares, each with a par value of EUR 0.01.
