Reference is made to the stock exchange notice by The Kingfish Company N.V. (\u201cKingfish<\/b>\u201d or the \u201cCompany<\/b>\u201c) on January 15, 2025 (the \u201cNotice<\/b>\u201c) regarding the allocation of shares in the fully underwritten private placement of 31,111,112 new shares in the Company at a fixed price of EUR 0.45 per share, raising gross proceeds of EUR 14 million (the \u201cPrivate Placement<\/b>\u201c). All terms used herein shall have the same meaning as in the Notice.<\/p>\n

The issuance of the 11,084,900 Tranche 1 Shares in the Private Placement has now been executed by private deed with immediate legal effect and shall be filed with the Dutch trade register.<\/p>\n

The Company\u2019s new share capital is EUR 1,219,341.91, divided into 121,934,191 shares, each with a par value of EUR 0.01.<\/p>\n
