Reference is made to the stock exchange notice by The Kingfish Company N.V. (\u201cKingfish<\/b>\u201d or the \u201cCompany<\/b>\u201c) on January 15, 2025 (the \u201cNotice<\/b>) concernant l'attribution d'actions dans le cadre du placement priv\u00e9 enti\u00e8rement souscrit de 31 111 112 nouvelles actions de la Soci\u00e9t\u00e9 \u00e0 un prix fixe de 0,45 EUR par action (le \"placement priv\u00e9\").Offer Price<\/b>\"), levant un produit brut de 14 millions d'euros (les \"Private Placement<\/b>\u201c). All terms used herein shall have the same meaning as in the Notice.<\/p>\n

Conform\u00e9ment aux autorisations accord\u00e9es au Conseil par l'AGE qui s'est tenue plus t\u00f4t aujourd'hui, le 24 janvier 2025, le Conseil a d\u00e9cid\u00e9 aujourd'hui d'augmenter le capital social de la Soci\u00e9t\u00e9 de 207.598,57 EUR par l'\u00e9mission de 20.026.212 Actions de la Tranche 2 et de 733.645 Actions de Prise ferme au Prix de l'Offre. Les Actions de Prise ferme sont \u00e9mises en r\u00e8glement de la commission de prise ferme des Preneurs fermes concern\u00e9s, conform\u00e9ment \u00e0 la convention de souscription et de prise ferme dat\u00e9e du 20 d\u00e9cembre 2024.<\/p>\n

Suite \u00e0 la signature des actes sous seing priv\u00e9 relatifs \u00e0 l'\u00e9mission des Actions de la Tranche 2 et des Actions de Prise ferme, le capital social de Kingfish sera de EUR 1.426.940,48, divis\u00e9 en 142.694.048 actions, chacune d'une valeur nominale de EUR 0,01.<\/p>\n
