Reference is made to the stock exchange notice by The Kingfish Company N.V. (“Kingfish” or the “Company“) on January 15, 2025 (the “Notice“) regarding the allocation of shares in the fully underwritten private placement of 31,111,112 new shares in the Company at a fixed price of EUR 0.45 per share, raising gross proceeds of EUR 14 million (the “Private Placement"). Si fa inoltre riferimento all'avviso di borsa della Società del 24 gennaio 2025 relativo alla delibera del consiglio di sorveglianza di aumentare il capitale sociale di Kingfish di 207.598,57 euro in relazione alla Tranche 2 e al regolamento della relativa commissione di sottoscrizione dei Collocatori in relazione al Collocamento Privato. Tutti i termini utilizzati nel presente documento hanno lo stesso significato che hanno nell'Avviso.
Le emissioni delle 20.026.212 Azioni della Tranche 2 del Collocamento privato e delle 733.645 Azioni di sottoscrizione sono state eseguite per atto privato con effetto legale immediato e saranno depositate presso il registro delle imprese olandese.
Il nuovo capitale sociale della Società è di 1.426.940,48 euro, suddiviso in 142.694.048 azioni, ciascuna con un valore nominale di 0,01 euro.
