Reference is made to the stock exchange notice by The Kingfish Company N.V. (\u201cKingfish<\/b>\u201d or the \u201cCompany<\/b>\") op 15 januari 2025 (de \"Kennisgeving<\/b>\") met betrekking tot de toewijzing van aandelen in de volledig onderschreven private plaatsing van 31.111.112 nieuwe aandelen in de Vennootschap tegen een vaste prijs van EUR 0,45 per aandeel, waarmee een bruto-opbrengst van EUR 14 miljoen werd opgehaald (de \"Private Placement<\/b>\"). Alle hierin gebruikte termen hebben dezelfde betekenis als in de Kennisgeving.<\/p>\n

De uitgifte van de 11.084.900 Tranche 1 Aandelen in de Private Plaatsing is nu bij onderhandse akte ge\u00ebffectueerd met onmiddellijke rechtsgevolgen en zal worden gedeponeerd bij het Nederlandse handelsregister.<\/p>\n

Het nieuwe aandelenkapitaal van de Vennootschap bedraagt EUR 1.219.341,91, verdeeld in 121.934.191 aandelen, elk met een nominale waarde van EUR 0,01.<\/p>\n

Current annual production capacity at its Kingfish Zeeland facility in the Netherlands is 4,000 tons of high quality and high-value yellowtail kingfish. Next expansion opportunities are in the Netherlands and the US. Kingfish Maine is fully permitted by local, state, and federal regulatory agencies to build an 8,500 tons production facility.<\/p>\n

Production is based on advanced recirculating aquaculture systems (RAS), which protect biodiversity and ensure biosecurity. Animal welfare is paramount, and the fish is grown without use of antibiotics and vaccines. Operations run on 100 percent renewable electricity, sourced from wind, solar and biogas. The Company\u2019s facilities operate on sea water, avoiding wasting precious fresh water.<\/p>\n

The Kingfish Company\u2019s main product, the Yellowtail Kingfish (also known as ricciola\/hiramasa\/greater amberjack) is a highly versatile premium fish species, well known in the Italian and Asian fusion cuisines. Its products are certified and approved as sustainable and environmentally friendly by Aquaculture Stewardship Council (ASC), Best Aquaculture Practices (BAP), GLOBAL G.A.P. and Friend of the Sea.<\/p>\n
